Corporate Governance Officer

Terms of Reference

On August 11th, 2021 the Board of Directors appointed Ms. Julia Lin, the Senior Director of the Legal Department, as the Corporate Governance Officer. She has over three years of experience as a legal director in public  companies and meets the qualifications specified in the " Taiwan Stock Exchange Corporation Operation Directions for Compliance with the Establishment of Board of Directors by TWSE Listed Companies and the Board's Exercise of Powers".

The Corporate Governance Officer is responsible for corporate governance matters, including handling of matters relating to Board,  and Audit Committee in compliance with law, making meeting minutes of BOD and shareholders meeting, assistance in onboarding and the continuing education of directors, provision of information required for performance of duties by directors, and assistance in directors’ compliance of law, report to the board of directors on the compliance inspection of independent director qualifications and other corporate governance matters stipulated in relevant laws, articles of association, or contracts, including matters related to director changes.

In 2025, VisEra has been ranked in the 6%~20% of "Corporate "2024 Corporate Governance Evaluations" by the Taiwan Stock Exchange (TWSE).
Note: Each year, the Taiwan Stock Exchange (TWSE) and the Taipei Exchange (TPEx) jointly release evaluation results of corporate governance and board performance for publicly listed companies based on assessments conducted independently by the Securities and Futures Institute.
